ARTICLE I

NAME, SLOGAN, & MOTTO

 

SECTION 1.         The name of this organization shall be the Lions Club of Camarillo Somis Pleasant Valley, chartered by and under the jurisdiction of the International Association of Lions Clubs, (hereinafter 
referred to as "Association)."

 

SECTION 2.         Its Slogan shall be: Liberty, Intelligence and our Nation's Safety.

 

SECTION 3.         Its Motto shall be: We Serve.

 

 

ARTICLE II
OBJECTS OF THIS CLUB

 

SECTION 1.         THE OBJECTS OF THIS CLUB SHALL BE:

                              A.  To create and foster a spirit of understanding among the peoples of the world;

                              B.   To promote the principles of good government and good citizenship;

                              C.  To take an active interest in the civic, cultural, social and moral welfare of the community;

                              D.  To unite the members in the bond of friendship, good fellowship, and mutual understanding;

                              E.   To provide a forum for the open discussion of all matters of public interest; provided, however, that partisan politics and sectarian religion shall not be debated by club members;

                              F.   To encourage service-minded men and women to serve their community without personal financial reward, and to encourage efficiency and promote high ethical standards in commerce, industry, professions, public works and private endeavors.

 

ARTICLE III

MEMBERSHIP

 

SECTION 1.         Subject to the provisions of Section B hereinafter any person of legal majority and good moral character and good reputation in his/her community, may be granted membership in this Lions Club. Wherever the male gender or pronoun is present in this Constitution and Bylaws, it shall be interpreted to mean both male and female persons.    

 

 

SECTION 2.         MEMBERSHIPS IN THIS CLUB SHALL BE AS FOLLOWS:

                              A.  ACTIVE: A member entitled to all rights and privileges and subject to all obligations which membership in a Lions Club confers or implies. Without limiting such rights and obligations, such rights shall include eligibility to seek, if otherwise qualified, any office in this Club, District (MD-4 and 4-A3) or Association and the right to vote on all matters requiring a vote of the membership, and such obligations shall include regular attendance, prompt payment of dues, participation in club activities, and conduct reflecting a favorable image of this Lions Club in the community.

 

                              B.   MEMBER-AT-LARGE: A member of this club who has moved from the community, or because of health or other legitimate reasons, is unable regularly to attend club meetings and desires to retain membership in this club, and upon whom the Board of Directors of this Club desires to confer this status. This status shall be reviewed each six (6) months by the Board of Directors of this Club. A member-at-large shall not be eligible to hold office or to vote in District or International meetings or conventions, but may vote in his Club elections, and shall pay such dues as this Club may charge, which shall include District (MD-4 and 4-A3) and Association dues.

 

                              C.  HONORARY: An individual, not a member of the Camarillo Somis Pleasant Valley Lions Club, having performed outstanding service for the community of this Club, upon whom this Club desires to confer special distinction. This Club shall pay entrance fees and International and District (MD-4 and 4-A3) dues on such a member, who may attend meetings, but shall not be entitled to any privileges of Active Membership.

 

                              D.  PRIVILEGED: A member of this Club who has been a Lion fifteen or years more, who, because of illness, infirmities, advanced age or other legitimate reasons, as determined by the Board of Directors of this Club, must relinquish his Active status. He shall have the right to vote and be entitled to all other privileges of membership except the right to hold Club, District (MD-4 and 4-A3) or International office.

 

                              E.   LIFE MEMBER:

                                    (1)        Any member of this Club who has maintained continuous Active Membership as a Lion for twenty (20) or more years and who has rendered outstanding service to his Club, his community, or this Association;

 

                                    (2)        or any member of this Club who has maintained such Active Membership for fifteen (15) or years more, is at least seventy (70) years of age and who has rendered outstanding service to his Club;

                                    (3)        or any member of the Pleasant Valley Lions Club who is critically ill, may be granted Life Membership in this club upon:

                                                (a)     Recommendation of the Board of Directors of the Pleasant Valley Lions Club,

                                                (b)     Recommendation of this Club to the Association,

                                                (c)     Payment to the Association of $500.00 by this club in lieu of all future dues to the Association,

                                                (d)     Approval by the International Board of Directors.

                                                (e)     With the exception of the International Dues, Life Members will pay MD-4, 4-A3, Club dues and be subject to regular charges for meals.

                                                (f)      A Life Member shall have all the privileges of Active Membership so long as he fulfills all obligations thereof.

                                                (g)     A Life Member who desires to relocate and receives an invitation to join another Lions Club shall automatically become a Life Member of said Club.

                              F.   ASSOCIATE MEMBER:

                                    (1)        A member who holds his primary membership in another Lions Club but maintains a residence or is employed in the conferring club's community. This status may be conferred by the invitation of the Board of Directors and shall be reviewed annually by said board. The conferring club shall not report an Associate Member on its Membership and Activities Report.

                                    (2)        An Associate Member may be eligible to vote on Club matters at meetings where he is present in person, but may not represent the Club which has conferred Associate Member status, as a delegate at District (MD-4 and 4-A3) or International. He shall not be eligible to hold Club, District or Inter- national committee assignments through the conferring Club. International and District (MD-4 and 4-A3), dues shall not be assessed on the Club conferring Associate Membership status but shall be assessed by the Club in which he maintains Active Membership; PROVIDED however, the local Club may assess an Associate such dues it deems appropriate.

                              G.  AFFILIATE MEMBER:

                                    (1)        A quality individual of the community who currently is not able to fully participate as an active member of the Club but who desires to support the Club and its community service initiatives and be affiliated with the Club. This status may be conferred by the invitation of the Club's Board of Directors.

                                    (2)        An Affiliate Member may be eligible to vote on Club matters at meetings where he is present in person, but may not represent the Club as a delegate at District (MD-4 and 4-A3) or International Conventions.

                                    (3)        He shall not be eligible to hold Club, District, or International office, nor District (4-A3, MD-4,) or International committee assignment. An Affiliate Member shall be required to pay District, International and such dues as the Pleasant Valley Lions Club may charge.

 

SECTION 3.         No person shall simultaneously hold membership, other than Honorary or Associate, in more than one Lions Club, and no person shall simultaneously hold membership, other than Honorary, in a Lions Club and any other service club of like character.

 

SECTION 4.         Membership in this Lions Club shall be acquired by invitation only. Nominations shall be made on forms provided by the International Office, which shall be signed by a member in good standing who shall act as sponsor and be submitted to the Membership Chairman or Club Secretary who, after investigation, shall submit the same to the Board of Directors. If approved by a majority of said Board, the prospect may then be invited to become a member of this Club. A properly filled out membership application and new membership fee as specified in Article IV, section 1, must be in the hands of the Secretary before the member may be officially inducted into the Club or be reported to the Association as a Club member.

 

SECTION 5.         REINSTATEMENT OF MEMBERSHIP: Any member dropped from membership in this Club may be reinstated, within six months form the date of termination of his membership by a majority vote of the Board of Directors. In the event more than six months have elapsed between such termination and his reinstatement application, it will be necessary for him to come into the Club under the procedure set forth in Section 4 of this Article III.

 

SECTION 6.         TRANSFER MEMBERSHIP: This Club may grant membership on a transfer basis to one who has terminated or is terminating his membership in another Lions Club, provided that:

                                    (1)        A completed transfer member form is received by the Secretary of this Club within six (6) months 
following the date of terminating of membership in his former club, of if the form is not available, the members current membership card:

                              B.   If such termination was in good standing:

                                    (2)        And if such transfer member form or membership card is approved by the Board of Directors. If more than six (6) months have elapsed between termination of his membership in another club and submittal of the completed transfer member form or current membership card, he may acquire membership in this Club only under provisions of Section 4 of this Article III.

 

ARTICLE IV
FEES AND DUES

 

SECTION 1.         NEW, REINSTATED AND TRANSFER MEMBERS:

                              A.  Each new member shall pay an entrance fee of $40.00.

                              B.   Each reinstated member shall pay an entrance fee of $40.00. After six months from leaving this club, he shall come in as a new member under provisions of Article III, Section 4 of the Pleasant Valley Constitution and Bylaws.

                              C.  Each transfer member shall pay an entrance fee of $430.00. After six months from leaving his former Club, he shall come in as a new member under provisions of Article III, Section 4 of the Pleasant Valley Constitution and Bylaws.

 

SECTION 2.

                              A.  Each member of this Club shall pay the following indicated regular annual dues, which dues shall include an amount to cover current International and District (MD-4 and 4-A3) dues (to defray the subscription price of the Lions Magazine, administrative and annual convention costs of the Association and similar District (MD-4 and 4-A3) costs) and shall be paid in advance at such times as the Board of Directors shall determine.

                                    (1)   Active ............................ $144.00

                                    (2)   Member-at-Large........... $144.00

                                    (3)   Honorary........................ $144.00

                                    (4)   Privileged ........................$144.00

                                    (5)   Life …............................ $150. 00   (ie: less International dues)

                                    (6)   Associate........................ $ 81.00

                                    (7)   Affiliate.......................... .$144.00

 

                              B.   The treasurer of this Club shall remit International and District (MD-4 and 4-A3) dues to the parties, and at the times specified in the respective International and District (MD-4 and 4-A3) Constitution and Bylaws.

                              C.  This club may require any member to pay Club meeting meal costs in advance of any meal, but such costs shall not be assessed as a part of regular dues.

                              D.  No dues, fees, or assessments in addition to those set forth herein, may be levied on, or required of, any member of its Board of Directors, or any member of this Club.

 


ARTICLE V
RESIGNATIONS

 

SECTION 1.         Any member may resign from this Club, and said resignation shall become effective upon 
acceptance thereof by the Board of Directors. The Board may withhold acceptance, however, until all 
indebtedness has been paid.

 

ARTICLE VI
FORFEITURE OF MEMBERSHIP

 

SECTION 1.

                              A.  Dues shall be paid when bills are received at the beginning of each quarter. If there is any indebtedness past the end of that quarter, the Secretary shall send the member written notice thereof. If any indebtedness still remains sixty days after receipt of written notice from the Secretary, the member shall thereon forfeit his good standing and shall so remain until such indebtedness is paid in full. Only members in good standing may exercise the voting privilege and hold office in this Club.

                              B.   The Board shall thereafter decide whether the member shall be dropped from or retained on the Club roster.

 

SECTION 2.         Any Member may be expelled from the Club for cause by a two/thirds (2/3) vote of the entire 
Board of Directors.

 

SECTION 3.         The name of any Active member who shall absent himself from four consecutive regular meetings of this Club, without acceptable cause being given to the Attendance Committee Chairman or the Club Secretary, shall be submitted to the Board of Directors by the Secretary at the Board meeting next following the fourth such absence and the Board of Directors shall decide if such member shall be dropped or retained as an Affiliate on the Club roster.

 

ARTICLE VII
OFFICERS

 

SECTION 1.         The officers of this Club shall be a President, Immediate Past President, First Vice President, 
Second Vice President, Third Vice President, Secretary, Treasurer, two Lion Tamers, two Tail Twisters, and the Membership Chairman.

 

SECTION 2.         No person shall be eligible to hold office in this Club unless he is an Active member in good standing and shall have been a member in good standing for at least a period of one year by the time he takes office.

                              A.  The candidates for Vice President must be currently a member in good standing for one year and must have been on the Board of Directors of the Pleasant Valley Lions Club for a minimum of two years . 
The candidates should be active Lions and have had a good attendance record at the Board of Directors meetings.

                              B.   In the event no one with the qualifications of Article VII, Section 2, A. is available, the Past Presidents nominating committee is permitted to nominate a Vice Presidential candidate who does not have all the qualifications thereof.

 

SECTION 3.         No officer shall receive any compensation for any service rendered to this Club in his official 
capacity with the possible exception of the Secretary and Treasurer whose compensation if any, shall be fixed by the Board of Directors.

 

SECTION 4.         REMOVAL: Any officer of this Club may be removed from office for good cause, at a regular club meeting, by two/thirds (2/3) vote of the club membership present.

 

 

SECTION 5. DUTIES OF OFFICERS:

 

                              A.  PRESIDENT: He shall be the Executive Officer of this Club, preside at all meetings of the Board of Directors and this club, issue the call for regular and special meetings of the Board of Directors and the Club, appoint the Standing and Special Committees of this Club and cooperate with chairmen 
thereof to effect regular functioning and reporting of such committees; see that regular elections are 
duly called, noticed and held; and cooperate with, and be an active member of the District Governor's Advisory Committee of the Zone in which this Club is located.

                              B.   IMMEDIATE PAST PRESIDENT: He and other Past Presidents shall officially greet members 
and their guests at Club meetings and shall represent this Club in welcoming all new service-minded 
men in the community served by this Club.

                              C.  VICE PRESIDENTS:

                                      (1)      If the President is unable to perform the duties of his office for any reason, the Vice President next in rank shall occupy his position and perform his duties with the same authority as the President.

                                      (2)      The Vice Presidents shall attend all District Activity meetings the President shall designate.

                                      (3)      The Vice Presidents shall also oversee the functioning of such committees of this Club as the President might designate.

                              D.  SECRETARY: He shall be under the supervision and direction of the President and the Board of 
Directors and shall act as the liaison officer between the Club and the Districts (MD-4 and 4-A3) in 
which this Club is located and the Association. In fulfillment of this, HE SHALL:

                        (1)        Submit regular monthly and other reports to the International Office of the Association on blanks provided by it, containing such information as may be called for therein and otherwise by the Board of Directors of the Association:

                        (2)        Submit to the District Governor's cabinet such reports as it may require including copies of regular Membership & Activities reports;

                        (3)        Cooperate with and be an Active member of the District Governor's Advisory Committee of the Zone in which this Club is located;

                        (4)        Have custody, keep and maintain general records of this Club, including minutes of Club and Board meetings; attendance; committee appointments; elections; addresses; birthdays and telephone numbers of members.

                        (5)        He shall send copies of all Board Meetings (regular and special) to all members of the Board of Directors and a copy to the Chairman of Constitution and Bylaws Committee.

                        (6)        Give bond for the faithful discharge of his office in such sum and surety as determined by the Board of Directors. This shall be accomplished at no cost to the Secretary.

                              E.   TREASURER: He shall be under the supervision and direction of the President and the Board of 
Directors of this Club. In fulfillment of this, HE SHALL:

                        (1)        Keep and maintain member's club accounts, club receipts and disbursements, issue quarterly statements to each member for dues and other financial obligations owed to this Club, and deposit same in a bank or banks recommended by the Finance Committee and approved by the Board of Directors.

                        (2)        Pay out monies in payment of club obligations only on authority given by the Board of Directors. All checks and vouchers shall be signed by the Treasurer and countersigned by one other officer, as determined by the Board of Directors.

                        (3)        Prepare and submit monthly and semiannual financial reports to the International Office of the Association and the Board of Directors of this Club.

                        (4)        Give bond for the faithful discharge of his office in such sum and with surety as determined by the Board of Directors. This shall be accomplished at no cost to the Treasurer.

                        (5)        He shall maintain at least two bank accounts. The first fund to deposit is the Administrative Fund monies, such as dues, tail twisting fines and other internally raised club funds. A second fund shall be established to deposit the Activity Fund monies raised by asking for support from the general public.

                        (6)        DISBURSEMENT OF FUNDS:

                                    (a)        ADMINISTRATIVE ACCOUNT: Monies from the this account, raised from dues, meals, and fines collected from other Lions and the members themselves, may be spent freely by the Board of Directors.

                                    (b)        ACTIVITY ACCOUNT: Monies from the Activity Account  (charitable Account), which were collected from the general public, may be spent only on projects which support and help the communities in which the monies were raised.

                              F.   LION TAMERS:

                        (1)        The two Lion Tamers shall have charge of and be responsible for the property and paraphernalia of the club, including flags, banners, bell, gavel, sound system, etc. They shall put each in its proper place before every meeting and return the same to the proper storage area after the meeting has concluded.

                        (2)        They shall act as Sergeant-at-arms at meetings, see that those present are properly seated, and distribute bulletins, favors and literature as required at Club and Board meetings.

                        (3)        They shall give special attention to assure that each member sits with a different group at each meeting so he can become better acquainted.

                  G.  TAIL TWISTERS

                        (1)        The two Tail Twisters shall promote harmony, good fellowship, life and enthusiasm in the meetings through appropriate stunts and games and the judicious imposition of fines on Club members.

                        (2)        There shall be no ruling from their decision in imposing a fine, provided however, that no fine shall exceed $1.00, and no member shall be fined more than twice at any one meeting.

                        (3)        The Tail Twisters may not be fined except by the unanimous vote of all members present.

                        (4)        All monies collected by the Tail Twisters shall be immediately turned over to the Treasurer and a receipt be given there for

                  H.  MEMBERSHIP CHAIRMAN:

                        (1)        He, during his term, shall call, conduct and be in charge of all Orientation Meetings for new members of the Camarillo Somis Pleasant Valley Lions Club.

                        (2)        He shall call and Chair the Past Presidents' nomination meeting, the Club Nominating Meeting and shall conduct and be in charge of the Club Election Meeting. This will include counting of ballots and announcing the winners. A simple majority vote from those present at this regular meeting is required.

                        (3)        This Past Presidents' nominating meeting shall be held before the second regular meeting in February.

                        (4)        He shall highlight the importance of the membership responsibility at the club level.

                        (5)        He shall encourage regular reporting on membership conditions to the Clubs Board of Directors.

 

SECTION 7.          MEMBERSHIP COMMITTEE.

                              A.  The members shall at minimum, be a Past President of this club;

                              B.   It shall be comprised of three (3) elected members.

                              C.  The committee members shall serve three (3) year terms.

                              D.  The terms are on a rotation system whereby one new member will be elected each year.

                              E.   The three (3) members serve in the following capacities:

                                    (1)        The first year member is a Committee Member.

                                    (2)        The second year member is Vice Chairman of the Committee.

                                    (3)        The third year member is the Committee Chairman and Membership Director serving as a voting officer member of the Club's Board of Directors.

 

 

ARTICLE VIII

BOARD OF DIRECTORS

 

SECTION 1.         The members of the Board of Directors shall be the President, Immediate Past President, 
First Vice President, Second Vice President, Third Vice President, Secretary, Treasurer, two (2) Lion Tamers, two (2) Tail Twisters, Membership Chairman, four (4) Second Year Directors and four (4) First Year Directors.

 

SECTION 2.         Regular meetings of the Board of Directors shall be held monthly at such time and place as the Board shall determine.

 

SECTION 3.         Special meetings of the Board of Directors shall be held when called by the President, or 
when requested by five (5) or more members of the Board of Directors, at such time and place as the 
President shall determine.

 

SECTION 4.         The presence in person of a majority of eleven (11) Directors shall constitute a quorum at 
any meeting of the Board of Directors. Except as otherwise specifically provided, the act of a majority of 
the Directors present at any meeting of the Board shall be the act and decision to the entire Board of Directors.

 

SECTION 5.         DUTIES AND POWERS: In addition to those duties and powers, express and implied, 
set forth elsewhere in this Constitution and Bylaws, the Board of Directors shall have the following duties 
and powers:

                              A.  It shall constitute the Executive Board of this Club and be responsible for the execution, through the Club officers, of the policies approved by the Club. All new business and policies of this Club shall be considered and shaped, first, by the Board of Directors for presentation to, and approved by, the Club members at a regular or special Club meeting;0

                              B.   It shall authorize all expenditures and shall not create any indebtedness beyond the current income of this Club, nor authorize dispersal of club funds for purposes inconsistent with the business and policy authorized by the club membership;

                              C.  It shall have the power to modify, override or rescind the action of ANY officer of this Club:

                              D.  It may have the books, accounts and operations of this Club audited annually, or, in its discretion, more frequently, and may require an accounting, or have an audit made, of the handling of any club funds by any officer, committee or member of this Club. Any member of this Club in good standing may inspect any such audit of accounting upon request at a reasonable time and place.

                              E.   It shall appoint, on recommendation of the Finance Committee, a bank or banks for the deposit of the funds of this Club;

                              F.   It shall appoint the surety for bonding of any officer of this Club.

                              G.  It shall not authorize, nor permit, the expenditure for any administrative purpose, of the net income of projects or activities of this Club by which funds are raised from the public;

                              H.  It shall submit all matters of new business and policy to the respective Standing or Special Club committee for the study and recommendation to the Board;

                              I.    It shall name and appoint, subject to approval of the club membership, the delegates and alternates of this club to District (MD-4 and 4-A3) and International Conventions.

 

SECTION 6.         BOARD MEMBER TERMINATION:

                              A.  Any Board Member who misses two consecutive regular Board Meetings without the notification of the Club President or Secretary shall receive written notice from the Club Secretary alerting him to the penalty of missing three unexcused meetings.

                              B.   Any Board Member who misses three consecutive regular Board meetings without the notification of Club President or Secretary, shall be automatically terminated from his position on the Board. No action by the Board is required nor shall be taken.

                              C.  Any Board Member who misses four (4) of the regular twelve (12) Board Meetings in any fiscal year MAY be terminated from the Board of Directors with a simple plurality vote by Board Members in attendance, assuming there shall be a quorum present.

 

 

 

 

 

 

ARTICLE IX
ELECTIONS

 

SECTION 1.         The officers of this Club, excluding the Immediate Past President shall be elected as follows.

                              A.  A nominating meeting shall be held at a regular club meeting in March of each year, with the date and place of such meeting to be determined by the Board of Directors and notice thereof mailed to each member of this Club at least 2 weeks prior the time of holding thereof;

                              B.   Before the first regular club meeting in February, the President shall appoint a nominating committee of Past Presidents who shall hold a meeting before the second club meeting in February. This nominating committee shall be temporarily chaired by the Club Membership Chairman until the election of a Permanent Chairman, nominated and elected by those in assembly is accomplished. A simple majority vote shall be required. This committee shall remain viable until the following February when the Club President appoints his new committee and the Permanent Chairman is elected;

                              C.  This committee shall submit names of candidates for the various club offices to the Club at the nominating meeting. At this meeting nominations for all offices to be filled in the succeeding year may also be made from the floor by any member in good standing:

                              D.  The Past President elected Chairman of this committee shall be in charge of and conduct both the Club nominations and Chair the Club elections according to Bylaw Number Six (6);

                              E.   If in the interim between the nominating meeting and the election meeting any nominee is unable for any reason to serve in the office to which he was nominated, and for which office there was no other nominees, the nomination committee shall submit, at the election meeting, names of additional nominees for that office;

                              F.   An election meeting shall be held no later than April 15th of each year, at a time and place determined by the Board of Directors, and two (2) weeks prior written notice thereof shall be given to each member of the club by the Secretary, by mail or subject to Article IX, Section 1, C. above, a statement that those nominees will be voted upon at this election meeting.

                              G.  Subject of the provisions of Section 1of this Article IX, all officers shall be elected annually and shall take office on July 1st, and shall hold office for one year form that date, or until their successors shall have been elected and qualified;

                              H.  Four (4) of the Directors shall be elected annually and shall take office on July 1st next following their election and shall hold office for two (2) years from that time, or until their successors shall have been elected and qualified;

                              I.    If there is one or more vacancies in the office of the Second Year Board, the four (4) candidates with the greater number of votes, shall be elected to the office of the First Year Board. The fifth highest becomes a Second Year Board Member and this will continue thereupon until all vacancies are filled;

                              J.    There shall be a minimum of two (2) members nominated for the position of Lion Tamer. The two  (2) receiving the greater number of votes will assume positions on the Board of Directors.

                              K.  There shall be a minimum of two (2) members nominated for the position of Tail Twister. The two (2) receiving the greater number of votes will assume positions on the Board of Directors.

                              L.   There shall be one new member elected to the Membership Committee each year.

                              M.  The election shall be by ballot by those present and qualified to vote. A plurality vote shall be necessary to elect.

 


ARTICLE X
VACANCIES

 

SECTION 1.

                              A.  In the case of a vacancy in the office of a President or Vice President, and the current Past Presidents' nominating committee has taken no action during the two weeks following the vacancy occurrence, the Vice Presidents shall advance in office, according to their rank. In the event such provision for advancement shall fail to fill an office of President, First or Second Vice President, the Board of Directors shall thereon call a special election, giving each club member in good standing prior two (2) weeks notice of the time and place thereof. This time and place shall be determined by the Board, and such office shall be filled at said election meeting. However:

                              B.   In the event that during the two week period mentioned in Paragraph A, above, the Past Presidents' nominating committee shall determine that due to special circumstances, the Pleasant Valley Lions Club would be better served by enabling the committee to nominate a Lion with more experienced qualifications to fill the office, they shall be empowered to do so. However, this being the case the entire Lions membership present at the next regular meeting shall vote on his confirmation, A simple plurality vote of those present shall be needed to confirm.

                              C.  In the office of Third Vice President only, if such office falls vacant after 31/January, it shall remain so until the next annual election of officers during the first meeting in April. The newly elected officer shall take his office on July 1st, next.

 

SECTION 2.               In the event any officer-elect, before his term of office commences, is unable or refuses for 
any reason to serve therein, the President may call a special joint nomination and election meeting to elect 
a replacement for such officer elect. Two weeks prior notice of such meeting, setting forth the purpose, time, and place thereof, shall be given to each member, by mail or personal delivery. The election shall be held immediately after nominations have been closed and a plurality vote shall be necessary for election.

ARTICLE XI

MEETINGS

 

SECTION 1.         REGULAR MEETINGS of this Club shall be held, no less than twice in each month, at a time and place recommended by the Board of Directors, and approved by the Club. All meetings shall begin and end promptly at the regular set times. Except as otherwise specifically provided in this Constitution and Bylaws, notice of regular meetings shall be given in such manner as the Board of Directors deems proper.

 

SECTION 2.         SPECIAL MEETINGS of this Club may be called by the President, in his discretion, and 
shall be called by the President when requested by the Board of Directors, at a time and place determined by the person or body requesting the same. Notice of special meetings setting forth the purpose, time and 
place thereof shall be given to each member of this club, by mail,  personal delivery or E mail at least ten (10) days prior to the date thereof.

 

SECTION 3.         A CHARTER NIGHT anniversary meeting of this Club shall be held each year, at which time special attention will be devoted to the objects and ethics of Lionism and the history of this Club.

 

SECTION 4.         An INSTALLATION NIGHT annual meeting of this Club shall be held in June of each year
 at a time and place determined by the Board of Directors, at which the newly elected officers shall be installed.

 

SECTION 5.         MAJORITIES:

                              A.  The presence in person of a majority of the members in good standing shall be necessary for a quorum at any meeting of this Club.

                              B.   Except as otherwise specifically provided, the act of a majority of the members present at any meeting shall be the act and decision of the entire club.

 

ARTICLE XII

EMBLEM, COLORS and FISCAL YEAR

 

SECTION 1.         The emblem and colors of this Club shall be the same as the emblem and colors of the International Association of Lions Clubs, (i.e. Purple and Gold). Unofficially of course, the color Red shall be dominant for the Pleasant Valley Lions Club, known as the "BIG RED ONE".

 

SECTION 2.         The fiscal year of this Club shall be July 1st thru June 30th.


 

ARTICLE XIII

DELEGATES TO NATIONAL AND DISTRICT (MD-4 & 4-A3) CONVENTIONS

 

SECTION 1.         Inasmuch as the International Association of Lions Clubs is governed by Lions Clubs in convention assembled, and in order that this Club may have its voice in Association matters, this 
Club shall have power to pay the necessary expenses of its delegates to each annual convention of 
the Association. This Club shall be entitled in any convention of this Association to one delegate and one alternate for each twenty five, or major fraction thereof, (i.e. thirteen (13)) members in good standing as shown by the records of the Lions Clubs International of the first day of the month last preceding that month during which the convention is held.

 

SECTION 2.         Inasmuch as all District (MD-4 and 4-A3) matters are presented and adopted at the District (MD-4 and 4-A3) conventions this Club shall send its full quota of delegates to all such conventions, and have the power, if desired, to pay the necessary expenses of such delegates attending such conventions. This Club is entitled in the District (MD-4 and 4-A3) conventions to one voting delegate and one alternate for each ten (10), or major fraction thereof, (i.e. five (5)) members in good standing as shown by the records of Lions Clubs International on the first day of the month last preceding that month during which the convention is held. 


 

ARTICLE XIV

HONORARY MAILING LIST

 

SECTION 1.         The International Association of Lions Clubs, Multiple District Four Office, District Governor, Vice District Governors, Region "N" Chairman and Zone Eight (8) Chairman, shall be included on the mailing list of this Club. The District Contest Chairman and all the Vice Chairmen MAY be added during the period of the Contest at the discretion of the Club.

 

ARTICLE XV

PARLIAMENTARY PRACTICES

 

SECTION 1.         Except as otherwise specifically provided in the Constitution and Bylaws, all questions of Order of Procedure with respect to any meeting of action of this Club, it's Board of Directors or any committee appointed hereunder shall be determined, in accordance with Robert's Rules of Order Newly Revised, as revised from time to time.


 


ARTICLE XVI

AMENDMENTS

 

SECTION 1.         This constitution may be amended at any regular or special meeting of this Club, at which a 
quorum is present, by affirmative vote of two-thirds (2/3) of the members present in person and voting, 
provided the Board has previously considered and approved the merits of the amendments.

 

SECTION 2.         No amendment shall be put to vote, unless written notice thereof, stating the proposed amendment shall have been mailed or delivered personally to each member of this Club at least two weeks prior to the meeting at which the vote on the proposed amendment is to be taken.

 

ARTICLE XVII

DEFINITION OF MAIL

 

SECTION 1.         References in this  CONSTITUTION and BYLAWS to the term “mail” shall be understood to include “E-mail.”

ENDORSEMENTS

 

SECTION 1.         This Club shall not endorse or recommend any candidate for public office, nor shall partisan politics or sectarian religion be debated by members during meetings of this Club.

OBJECTS OF MEMBERSHIP

SECTION 1.         Except to further his progress in Lionism, no officer nor any other member of this Club shall 
use his membership as a means therein, for any personal, political, or other aspiration, not shall the Club as a whole, take any part in any movement not in keeping with its purpose and objects.

 


BYLAW NUMBER THREE

SOLICITATION OF FUNDS

 

SECTION 1.         No funds shall be solicited from members of this Club during meeting by any individual or individuals who are not members of the Pleasant Valley Lions Club. Any suggestion or proposition made at any meeting of this Club calling for the expenditure of monies for other than the regular obligations, which shall be determined by the Board of Directors, shall be referred to the Finance Committee for recommendations to the Board of Directors at a later date.

SECTION 2.         SPECIAL COMMITTEES: From time to time, the President may appoint with the approval of the Board of Directors, such Special Committees as may be necessary in his judgment or the judgment of the Board of Directors.

 

SECTION 3.         The President shall be an ex officio member of all committees.

 

SECTION 4.         All committees shall consist of a chairman and, subject to Section 2 above, as many members as shall be considered by the President or the Board of Directors.

 

SECTION 5.         Each committee, through its chairman shall report, either verbally or in writing, as requested by the Board of Directors.

 

SECTION 6.         All problems pertaining to either administrative or activity matters shall be referred to the corresponding committee for study and recommendation to the Board of Directors.

 


BYLAW NUMBER FIVE

BYLAW AMENDMENTS OR SUSPENSIONS

 

SECTION 1.         These Bylaws may be altered, amended or repealed at any regular or special meeting 
of this Club at which a quorum is present, by the vote of a majority of the members present in person and voting.

 

SECTION 2.         No amendment shall be put to vote unless written notice thereof, stating the proposed amendment, shall have been mailed or delivered personally to each member at least two weeks prior to the meeting at which the vote on the amendment is to be taken.

 

SECTION 3.         Any Bylaw except 1, 2, 3, 5, 6, and 7, may be suspended at any meeting of the Club at 
which a quorum is present by the unanimous vote of all members present.

 


BYLAW NUMBER SIX

ELECTIONS

SECTION 1.

                              A.  FEBRUARY:

                                    (1)        The President shall appoint a nominating committee as provided for in Article IX, Section 1, B, of this Constitution before the first regular meeting in February.

                                    (2)        This nominating committee shall meet before the second regular meeting in February.

                                    (3)        The date of the Club nominating meeting (which shall be the first regular meeting in March), shall be published, over the Secretaries name, in the club bulletin which is mailed immediately preceding the second meeting in February.

                              B.   MARCH:

                                    (1)        The Lions nominated by the President's nominating committee shall be published, under the Secretary's name, in the club bulletin which is mailed immediately preceding the first meeting in March.

                                    (2)        The Club nominating meeting shall be the first meeting in March. The President's nominating committee shall submit the names of candidates for the various club officers to the club at the nomination meeting. 
At this meeting nominations for all offices to be filled in the succeeding year may also be made from the floor by any member in good standing.

                                    (3)        The date of the election meeting (which shall be the first meeting in April), and all the names of Lions nominated for the various club offices shall be published over the Secretary's name, in the club bulletin which is mailed immediately preceding the second meeting in March.


                            C.    APRIL:

                                    (1)        Elections shall be held during the first meeting in April.

                                    (2)        No nominations may be made from the floor at the election meeting.

                                    (3)        A plurality vote shall be necessary to elect.

BYLAW NUMBER EIGHT

LION OF THE YEAR

 

SECTION 1.         The Lion of the Year shall be chosen by the President of the Pleasant Valley Lions Club.

 

SECTION 2.         There shall be only one Lion of the Year award presented annually.

 

SECTION 3.         This award shall be presented by the President of this Club at the annual Installation of Officers.

 

BYLAW NUMBER NINE

THE ONE HUNDRED PERCENT ATTENDANCE AWARD

 

SECTION 1.         Absence from a regular meeting of a Lions club may be made up within the time limit of thirteen days prior to and thirteen days following the date of the meeting missed in any of the following ways:

                              A.  Attendance at a meeting of any other Lions club, regular or special;

                              B.   Attendance at a meeting of the member's home club's Board of Directors;

                              C.  Attendance at a meeting of a club member's standing committee.

                              D.  Attendance at any meeting scheduled or sponsored by the member's own club, including club fund raising and service activities;

                              E.   Attendance at a regional or zone meeting;

                              F.   Attendance at an International, Multiple or District Convention or any other recognized Lion's meeting.

                              G.  A visit within said time limit to the office of Lions Clubs International of the office of any District or Multiple outside the country of which the visiting Lion is a member. Cards proving such visits shall be made available from the Clubs visited to the visiting Lions.

 

SECTION 2.         A member who is forced to miss a meeting(s) by reason of illness shall automatically be granted attendance credit for the meeting(s) missed upon furnishing acceptable evidence of said illness.

 

SECTION 3.         A member who is forced to miss a meeting(s) as a result of family emergencies, military service, jury duty, elected government position or other statutory requirements, shall be given attendance credit for meeting(s) missed and in each case the club Board of Directors shall decide if credit should be given for missed meetings(s).

 

SECTION 4.         Any Lion who finds it necessary or is assigned to perform occupational duties for an extended 
period in a place from which he cannot readily attend a Lion's club meeting, may, at the discretion of his club, be granted credit for meetings missed thereby.

 

SECTION 5.         Responsibility should be placed on the Club Secretary to verify what the member has fulfilled 
toward attendance requirements.

 

SECTION 6.         Each Lion should realize there is really no valid reason for all not having 100% attendance. 
Each Lion member should be aware it is solely his responsibility to report all make ups to the Club Secretary before the end of every month and before the M&A's are completed and mailed.

 

BYLAW NUMBER TEN

THE LIFE MEMBERSHIP SELECTION PROCESS

 

SECTION 1.         THE SELECTION OF A LIFE MEMBER:

                              A.  The President shall appoint a Life member candidate selection committee during the Month of February.

                              B.   The committee cannot include any member who has not been a member of the Pleasant Valley Lions Club for fifteen years with his age possibly eligible for selection.

                              C.  The Club Secretary will provide the selection committee with a list of all club members who satisfy the minimum time requirement of fifteen (15) years of membership, (and whose age does make him possibly eligible) or is critically ill.

                              D.  At the May Board Meeting, the Selection committee shall provide the Board of Directors with a Lion's biography for each member recommended to the Board of Directors to consider.

                              E.   The Life membership award should be based on past service to the Pleasant Valley Lions Club.

                              F.   RECOMMENDATION OF THE BOARD OF DIRECTORS:

                                    (1)        The Board may recommend for Life Membership as many members as it deems are appropriate, to Lions Clubs International.

                                    (2)        The Board may also deem not to choose any of the Life Member candidates presented. (nor to obligate the club with the expense of $5300.00 for each). They shall not be mandated to choose a candidate for any year in question.
